Introduction
This contract governs the General Terms and Conditions for purchasing products (hereinafter, the “Terms”) through the website solagrupo.com/, owned by MAQUINARIA AGRICOLA SOLA SL under the Solà trademark, hereinafter, PROVIDER, whose contact information is also provided in the Legal Notice on this website.
These Terms will remain published on the website and available to the USER for review and storage as confirmation of the contract; they may be modified at any time by MAQUINARIA AGRICOLA SOLA SL. It is the USER’s responsibility to review them periodically, as the terms in effect at the time an order is placed shall apply. MAQUINARIA AGRICOLA SOLA SL will archive the electronic document formalizing the purchase and make it available to the USER upon request.
Contracts shall not be subject to any formal requirements, except as expressly provided for in the Civil Code, the Commercial Code, and in this or other special laws.
Acceptance of this document implies that the USER:

- Is a person with sufficient legal capacity to enter into a contract.
- Assumes all obligations set forth herein.
These terms and conditions shall remain in effect indefinitely and shall apply to all contracts entered into through the SERVICE PROVIDER’s website.
The PROVIDER hereby states that it is responsible for and is familiar with the applicable laws of the countries to which it ships products, and reserves the right to unilaterally modify these terms and conditions, without such modification affecting goods or promotions purchased prior to the change.
Identity of the Contracting Parties
On the one hand, the PROVIDER of the products contracted by the USER is MAQUINARIA AGRICOLA SOLA SL, with registered office at Ctra. de Igualada, s/n. 08280 Calaf - Barcelona, Tax ID B08275026, and with a customer service phone number of 938 68 00 60.
And on the other hand, the USER, registered on the website with a username and password, for which the USER bears full responsibility for use and safekeeping, and is responsible for the accuracy of the personal data provided to the PROVIDER.
Purpose of the Contract
The purpose of this contract is to govern the contractual sales relationship established between the PROVIDER and the USER at the moment the USER checks the corresponding box during the online ordering process.
The contractual relationship for the sale and purchase entails the delivery of a specific product in exchange for a specific price publicly displayed on the website.
Correction of Information
If the USER identifies errors in the information published on the website or in the documents generated by the contractual relationship, they may notify MAQUINARIA AGRICOLA SOLA SL at sola@solagrupo.com so that the company may correct them as soon as possible.
The USER may keep their information up to date by accessing their user account.
Contractual Procedure
In order to access the products or services offered by the PROVIDER, the USER must be of legal age or an emancipated minor and must register through the website by creating a user account. Therefore, the USER must freely and voluntarily provide the personal data that will be requested, which will be processed in accordance with the provisions of Regulation (EU) 2016/679 of April 27, 2016 (GDPR), concerning the protection of natural persons with regard to the processing of personal data and the free movement of such data, and Organic Law 3/2018 of December 5 (LOPDGDD), regarding the protection of personal data, as detailed in the Legal Notice and Privacy Policy of this website.
The USER shall select a username and password, agreeing to use them responsibly and not to disclose them to third parties, as well as to notify the PROVIDER of any loss or theft of said credentials or any potential unauthorized access by a third party, so that the PROVIDER may immediately block them.
Once the user account has been created, please be advised that, in accordance with the requirements of Article 27 of Law 34/2002 on Information Society Services and Electronic Commerce (LSSICE), the ordering process will follow these steps:

1. GENERAL CONTRACT
TERMS
Unless otherwise specifically stipulated in writing, placing an order with the SERVICE PROVIDER shall constitute the USER’s acceptance of these legal terms and conditions. No provision made by the USER may differ from those of the PROVIDER unless expressly accepted in advance and in writing by the PROVIDER.
2. SHIPPING AND DELIVERY OF ORDERS
Shipments are made exclusively to mainland Spain, to the mailing address provided by the USER. Shipments to post office boxes or parcel stations are not accepted.
The USER may not use the purchased products for subsequent sale or distribution.
The order will be processed and shipped once the availability of the merchandise has been verified and payment has been confirmed. The SERVICE PROVIDER will not process any shipment until payment has been effectively verified.
Shipments are made via the GLS shipping carrier. The delivery time is 7 business days from the date the order is confirmed. For the purposes of these timeframes, business days are considered to be Monday through Friday, excluding official holidays in Spain.
The USER may request a change to the delivery address while the order is being prepared. Once the order has been prepared or handed over to the carrier, no changes can be made. Failure to Perform the Distance Contract
If the contract cannot be fulfilled because the contracted product or service is not available within the specified timeframe, the USER will be informed of the unavailability and will be entitled to cancel the order and receive a full refund of the amount paid at no cost, and without this giving rise to any liability for damages attributable to the PROVIDER.
In the event of an unjustified delay by the SERVICE PROVIDER in refunding the full amount, the USER may claim payment of double the amount owed, without prejudice to their right to be compensated for damages suffered in excess of that amount.
The PROVIDER shall not be liable if the product or service is not delivered due to the USER providing false, inaccurate, or incomplete information.
Delivery shall be deemed to have been made at the time the carrier has made the products available to the USER and the USER, or the USER’s representative, has signed the delivery receipt.
The SERVICE PROVIDER shall be liable to the USER for any lack of conformity existing at the time of delivery of the order, and the USER may, by means of a simple declaration, require the SERVICE PROVIDER to remedy such lack of conformity, reduce the price, or terminate the contract. In any of these cases, the USER may also demand compensation for damages, if applicable.
The USER shall have the right to suspend payment of any outstanding portion of the price of the purchased product until the SERVICE PROVIDER fulfills the obligations set forth in this contract.
It is the USER’s responsibility to inspect the products upon receipt and to note any reservations or claims that may be justified on the delivery receipt.
3. RIGHT OF WITHDRAWAL

The USER has a period of fourteen calendar days, counted from the date of receipt of the product or from the conclusion of the sales contract if the transaction involves the provision of a service, to exercise the right of withdrawal, as regulated by Article 102 of Royal Legislative Decree 1/2007, dated November 16, which approves the consolidated text of the General Law for the Protection of Consumers and Users and other complementary laws, hereinafter RDL 1/2007. If the SERVICE PROVIDER fails to comply with the duty to provide information and documentation regarding the right of withdrawal, the period for exercising this right shall expire twelve months after the expiration date of the initial withdrawal period, in accordance with Article 105 of RDL 1/2007.
The right of withdrawal shall not apply to the contracts referred to and listed in Article 103 of RDL 1/2007, which are listed here
All returns must be reported to the PROVIDER by requesting a return number using the form provided for this purpose, or by email to tienda@solagrupo.com, indicating the corresponding invoice or order number.
The USER must return the product in its original packaging and in the same condition in which it was received. If the product shows signs of use, damage, or missing packaging attributable to handling beyond what is necessary to verify its nature and characteristics, the PROVIDER reserves the right to deduct from the refund the amount corresponding to the observed depreciation. This assessment will be communicated to the USER before the refund is issued.
Once the USER has received the return number, they must send the product to the SERVICE PROVIDER, indicating this number on the shipping label, with shipping costs at their own expense, to the address of MAQUINARIA AGRICOLA SOLA SL, Ctra. de Igualada, s/n. 08280 Calaf - Barcelona

5. FORCE MAJEURE
The parties shall not be liable for any failure to perform due to force majeure. Performance of the obligation shall be deferred until the force majeure event ceases.
6. JURISDICTION
The USER may not assign, transfer, or convey the rights, responsibilities, and obligations arising from the sale.
If any provision of these terms and conditions is deemed invalid or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected in any way, nor shall they be modified in any manner.
The USER declares that they have read, understand, and accept these Terms and Conditions in their entirety.
7. GENERAL PROVISIONS OF THE OFFER
All sales and deliveries made by the SERVICE PROVIDER shall be deemed subject to these Terms and Conditions.
No modification, alteration, or agreement contrary to the Commercial Proposal of MAQUINARIA AGRICOLA SOLA SL or to the provisions set forth herein shall be effective, unless expressly agreed to in writing and signed by the SERVICE PROVIDER; in such cases, these specific agreements shall prevail.
8. PRICE AND VALIDITY PERIOD OF THE OFFER
The prices listed for each product or service include Value-Added Tax (VAT) or any other applicable taxes. Unless expressly stated otherwise, these prices do not include shipping or communication costs, handling fees, or any other additional services related to the purchased product.
The prices applicable to each product are those published on the website and are expressed in Euros. The USER acknowledges that the price of some products may vary in real time.
Before completing the purchase, you can review all the details of the order online: items, quantities, price, availability, shipping costs, fees, discounts, taxes, and the total purchase amount. Prices may change daily until the order is placed.
Once the order is placed, the prices will remain the same regardless of product availability.
Any payment made to the SERVICE PROVIDER will result in the issuance of an invoice in the name of the registered USER or the business name provided by the USER at the time the order was placed. The SERVICE PROVIDER will send the invoice via email to the address provided by the USER at the time of purchase. 9. SHIPPING COSTS
The prices listed in the store do not include shipping, communication, installation, or download fees, nor do they include any additional services, unless expressly agreed otherwise in writing.
Shipping rates apply per order and are displayed once the purchase has been processed, before payment is made.
10. PAYMENT METHODS, CHARGES, AND DISCOUNTS
The PROVIDER is responsible for financial transactions and offers the following methods for paying for an order:

Under the credit card brands’ programs, it is prohibited to sell or offer a product or service that does not comply with all laws applicable to the Buyer, Issuing Bank, Merchant, or Cardholder(s).
11. PURCHASE PROCESS
Any product from our catalog can be added to the shopping cart. The cart will display only the items, quantity, price, and total amount. Once the cart is saved, taxes, fees, and discounts will be calculated based on the payment and shipping information entered.

12. SEVERABILITY AND SUSPENSION OR TERMINATION OF THE CONTRACT
If any of these terms and conditions is deemed illegal, void, or unenforceable for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of any of the remaining provisions.
The PROVIDER may, without prior notice, suspend or terminate the USER’s access to its services, in whole or in part, if the USER fails to comply with the obligations set forth in this contract or any applicable legal provision, license, regulation, directive, code of practice, or policy.
When the SERVICE PROVIDER exercises any of its rights or powers under this Clause, such exercise shall not prejudice or affect the exercise of any other right, power, or remedy that may be available to the SERVICE PROVIDER.
13. WARRANTIES AND RETURNS

14. GOVERNING LAW AND JURISDICTION
These terms and conditions shall be governed by and interpreted in accordance with Spanish law in any matter not expressly provided for herein. Any dispute that may arise from the provision of the products or services covered by these Terms and Conditions shall be submitted to the courts and tribunals of the USER’s place of residence, the place of performance of the obligation, or the location of the property if it is real estate.
